1. Acceptance of Terms

By accessing or using Shelfwise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Shelfwise.

2. Description of Service

Shelfwise is an inventory demand forecasting tool that allows users to upload historical sales data, generate AI-powered demand forecasts, and share forecast results. The Service is provided "as is" and "as available" without warranties of any kind.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You may register using your email address and password, or by signing in with your Google account. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

You must be at least 13 years of age to create an account. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with or disrupt the Service or servers connected to the Service.
• Use the Service for any purpose that is illegal or prohibited by these Terms.
• Upload malicious files, viruses, or harmful code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service without permission.

5. User Data and Content

You retain ownership of all data you upload to Shelfwise. By uploading data, you grant us a limited license to process, store, and analyze your data solely for the purpose of providing the Service to you. We will not use your data for any other purpose without your explicit consent.

You are solely responsible for the accuracy, legality, and appropriateness of the data you upload. You represent that you have all necessary rights and permissions to upload and process the data.

6. Forecasts and AI-Generated Content

Forecasts generated by Shelfwise are predictions based on statistical models and AI analysis of your historical data. They are provided for informational purposes only and should not be relied upon as the sole basis for business decisions. We do not guarantee the accuracy, completeness, or reliability of any forecast or AI-generated analysis.

7. Sharing and Public Links

When you create a public sharing link for a forecast, anyone with the link can view the forecast data (chart and metrics). You are responsible for managing access to your shared links. You may revoke a sharing link at any time. Shared forecast pages do not include your personal account information.

8. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Shelfwise and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Shelfwise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

12. Indemnification

You agree to indemnify, defend, and hold harmless Shelfwise and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service will immediately cease, and we will delete your data in accordance with our Privacy Policy.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
